Exclusive license
Version 1.0
Parties
Producer: No Venom. ("we", "us")
Buyer: the person named at checkout, and the artist or project they name, if any. ("you")
Beat: the instrumental named on your order and license PDF, including its master WAV and stems as delivered.
New Song: any recording you make that uses the Beat, in whole or in part.
1. When this license starts
This license starts when your payment clears. Before that, nothing passes to you. If the payment is reversed or charged back, this license ends and everything granted here returns to us.
2. The master: you own it
2.1 We assign to you all copyright in the Beat's sound recording and stems, worldwide, for the full term of copyright and any renewals or extensions.
2.2 This assignment is subject to the leases listed on your license PDF, which were sold before your purchase. Those lease holders keep their rights under their own licenses. We sell no new leases, and no other license, of the Beat after your purchase.
2.3 As a performer on the Beat, the Producer consents to your exploitation of the recording in any way and waives any claim against you for equitable remuneration. This doesn't affect income the Producer collects through a collecting society where the law gives it to performers.
3. The composition: shared
3.1 The Producer keeps the copyright in the Beat's musical composition as its author.
3.2 We grant you an exclusive, perpetual, worldwide, irrevocable (except under clause 1) license to use the Beat's composition in New Songs, and to reproduce, distribute, perform, broadcast, sync and otherwise exploit those New Songs in any media now known or later invented. We won't license the composition to anyone else, except to lease holders listed on your PDF.
3.3 In each New Song, the Producer is a co-writer and owns 50% of the writer's share and 50% of any publisher's share of the composition. You and your co-writers share the rest as you agree among yourselves.
3.4 You (or your publisher or distributor) will register each New Song with your performing rights organisation, and with any mechanical rights body, showing the Producer as co-writer at the share in 3.3. We will register our share with ours. Each side keeps the income its own share earns. We'll give you our writer details on request.
3.5 Clause 3 doesn't apply to a song in which none of the Beat's composition remains audible.
4. What you can do
Without further permission or payment: record, edit, chop, loop, re-arrange, add to or remove from the Beat; release, sell, stream, perform, broadcast and sync New Songs, on any platform, in any number, forever. This includes music videos, films, TV, adverts, games, live shows and radio.
5. Credit
5.1 Credit the Producer as Prod. No Venom wherever producer credits are shown for a New Song: streaming and store metadata, physical packaging, video descriptions.
5.2 If you miss a credit, fix it within 30 days of our email asking you to. A missed credit you fix in time is not a breach.
5.3 The Producer keeps the right to be identified as author. The Producer waives the right to object to edits, arrangements or other treatment of the Beat.
6. Content ID and fingerprinting
6.1 You may register a released New Song with Content ID or any similar service. Don't register the bare Beat.
6.2 You must whitelist, or release within 14 days of being asked, any claim against:
- songs by the lease holders listed on your PDF, made under their leases;
- our tagged previews, portfolio, vault page and social posts showing the Beat as our work.
6.3 Not releasing a claim under 6.2 within 14 days is a breach of this license.
7. Samples
7.1 The Beat's sample status is shown on its page and on your license PDF:
- Sample-free: we promise the Beat contains no third-party recordings or compositions.
- Cleared sample: we've cleared the sample named on the PDF for the uses in clause 4, on the terms stated there.
- Contains uncleared sample: the Beat uses the sample named on the PDF. We have not cleared it, and nothing in this license grants rights in it. You need clearance from the sample's owners before releasing a New Song commercially. We'll give you the details we have.
7.2 Apart from declared samples, we promise the Beat is our original work and that we have the right to grant this license.
8. Our promotional use
We may keep the Beat's title, artwork, specs and tagged 60-second preview on our vault and portfolio and say it's sold. We credit you by name there only if you opted in at checkout. You can opt out at any time by email.
9. Passing it on
You may transfer this license, and ownership of the master, to a label, publisher or other successor, if you tell us in writing and the successor takes on clauses 3, 5 and 6. Otherwise, these duties stay with you.
10. Delivery
We email a download link when your payment clears. It allows 5 downloads over 30 days. We'll reissue it on request. Keep your own backup. We aren't obliged to keep your files after the link expires, though we'll try.
11. Cancellation, refunds and faulty files
11.1 At checkout you asked us to deliver the files immediately and acknowledged that you lose your 14-day right to cancel once they're delivered. We confirm this in your order email.
11.2 This doesn't affect your legal rights if the files are missing, corrupt or not as described. In that case we'll fix or replace them, and if we can't, you're entitled to a price reduction or a full refund.
11.3 If you ask for a refund before downloading anything, we may agree at our discretion. On any refund, this license ends, the master and composition rights return to us, and the Beat may go back on sale.
12. Business buyers only
If you're buying for your trade, business or profession (for example, a label):
- our total liability under this license is limited to the price you paid, except for liability that can't be limited by law;
- you indemnify us against claims arising from lyrics, vocals or other material you add to a New Song.
13. Signature
This license is signed electronically by the Producer and issued as a PDF at fulfilment. It is the written, signed instrument of assignment and exclusive license. By ticking the box at checkout and paying, you accept it.
14. Law and courts
This license is governed by the law of the country where the Producer is established, and its courts have jurisdiction. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim in your local courts.
15. The rest
If any part of this license is unenforceable, the rest stands. This license, the PDF and the order email are the whole agreement for the Beat. Notices go by email to the addresses on the order.
Lease
Version 1.0
Parties
Producer: No Venom. ("we", "us")
Buyer: the person named at checkout, and the artist or project they name, if any. ("you")
Beat: the instrumental named on your order, as delivered in MP3 and WAV (no stems).
New Song: one recording you make that uses the Beat.
1. When this license starts
This license starts when your payment clears. If the payment is reversed or charged back, it ends.
2. What you get
We grant you a non-exclusive, non-transferable (except under clause 9), worldwide license to use the Beat to make one New Song and to exploit it within the limits below. We keep all copyright in the Beat. You own your own lyrics, vocals and other material you add.
3. Limits
| | Allowed | |---|---| | Releases | 1 New Song, released as a single or as one track on a project. Remixes and alternate versions of the same song (clean, instrumental-with-hook, sped-up) count as the same song. | | Streams | Up to 100,000 combined streams across all audio platforms plus video views across all video platforms. | | Sales | Up to 2,000 paid downloads or physical units. | | Music video | 1 video. | | Live | Unlimited live performance. | | Radio | Non-commercial, community and college radio only. | | Sync | Not allowed (film, TV, adverts, games, trailers). Ask us for a sync license or buy the exclusive. |
When you reach any limit, stop new distribution of the New Song beyond it until you buy a new license from us. Streams and sales already made stay licensed.
4. What you can't do
- Register the Beat or the New Song with Content ID or any fingerprinting service, or let a distributor do it for you. Opt out of it with your distributor.
- Claim ownership of the Beat, or stop us or others from using it.
- Sell, give away or upload the Beat, or a version of it without your vocals, as an instrumental or sample.
- Use the Beat or its parts to train, fine-tune or prompt an AI model, or to generate soundalikes.
5. Publishing
In the New Song, the Producer is a co-writer and owns 50% of the writer's share and 50% of any publisher's share. Register the New Song with your performing rights organisation showing the Producer as co-writer at that share. We'll give you our writer details on request.
6. Credit
Credit the Producer as Prod. No Venom wherever producer credits are shown. If you miss one, fix it within 30 days of our asking. The Producer waives the right to object to edits or arrangements of the Beat.
7. If someone buys the exclusive
The Beat stays on sale after your lease. If someone later buys exclusive rights, your lease continues unchanged, and the exclusive buyer must whitelist your New Song for Content ID. If you receive a claim against your New Song, email us and we'll deal with it.
8. Samples
Sample status is shown on the Beat's page and in your order email (Sample-free, Cleared sample, or Contains uncleared sample). If the Beat contains an uncleared sample, this lease grants no rights in that sample, and you need clearance before commercial release. Apart from declared samples, we promise the Beat is our original work.
9. Transfer
This lease is personal. You may transfer it only together with the New Song itself, for example to a label that takes over your release, and only if you tell us and the new owner accepts these terms.
10. Term
This lease lasts as long as copyright in the Beat, as long as you stay within the limits in clause 3. If you breach clause 4, we may end the lease by email. You must then take the New Song down within 30 days.
11. Delivery, cancellation and faulty files
We email a download link when your payment clears. It allows 5 downloads over 30 days. At checkout you asked for immediate delivery and acknowledged that you lose your 14-day right to cancel once the files are delivered. If the files are missing, corrupt or not as described, we'll fix or replace them, and if we can't, you're entitled to a price reduction or a full refund.
12. Upgrading
If you later buy the exclusive for the same Beat, while it's still available, we'll deduct what you paid for this lease within 12 months of buying it.
13. Business buyers, law and courts
Clauses 12 to 15 of the Exclusive Beat License apply to this lease as if written here, with "lease" in place of "license".
Shop terms
Version 1.0
Seller
No Venom
1. What these terms cover
Everything sold on venomless.com: beats (also covered by the Exclusive Beat License or Lease), sound kits and presets, music downloads, vinyl, cassettes and merch. If the license for a beat conflicts with these terms, the license wins for that beat.
2. Prices and payment
Prices are in euro and include any tax we're required to charge. Checkout may show your local currency. Shipping is added at checkout for items that ship. Payment is taken by Stripe. Where a release lets you pay more than the listed price, the extra is voluntary, and it's refunded along with the rest of the price if a refund happens.
3. How a contract is made
Our product pages are invitations to buy, not offers. A contract is made when your payment clears and we email your confirmation. If an item becomes unavailable first (for example, an exclusive beat sells while it's in your cart), we won't take payment for it, or we'll refund it in full.
4. Offers on beats
You can offer a price on some beats. An offer is not binding on either side. If we accept or counter, we email a payment link and hold the beat for you for 48 hours. Nothing is sold until you pay. An unpaid hold just ends.
5. Whole-crate purchases
Buying a whole crate is a separate exclusive license for each beat in it, at the discounted total shown. If one beat sells to someone else before your payment clears, it's removed from your checkout and the price is recalculated.
6. Digital items: delivery and cancellation
6.1 We email a download link when payment clears. Each link allows 5 downloads over 30 days. We'll reissue it on request.
6.2 For downloads, at checkout you asked us to deliver immediately and acknowledged that you lose your 14-day right to cancel once they're delivered. We confirm this in your order email. If you didn't give that consent, you can cancel within 14 days of purchase.
6.3 If a file is missing, corrupt or not as described, tell us. We'll fix or replace it, and if we can't, you're entitled to a price reduction or a full refund.
7. Sound kits and presets
7.1 You may use the sounds royalty-free in your own music and productions, commercially or not, forever, with no credit required.
7.2 You may not:
- sell, share or give away the sounds themselves, alone or in another kit, even modified;
- register a composition or recording with Content ID where our sounds are its main element (for example, a loop with nothing added);
- use the sounds to train, fine-tune or prompt an AI model.
7.3 This license is personal to you, or to your band or production team as one unit.
8. Music downloads
Downloads of No Venom releases are for your personal, non-commercial listening. They don't give you any right to reuse, sample or redistribute the recordings.
9. Items that ship (vinyl, cassettes, merch)
9.1 Delivery. We aim to ship within 3 to 5 working days and give a tracking number where the service allows. Delivery times depend on your location and postal services. Customs duties and import taxes outside the EU may be charged to you by your local postal service or courier.
9.2 Your 14-day right to cancel. You can cancel within 14 days of the day you, or someone you name, receive the goods, without giving a reason. Tell us by email, or use the form below. Send the goods back within 14 days of telling us. You pay the return postage. We refund the price and our standard outbound shipping within 14 days of your cancellation, but we can wait until we get the goods back, or you show proof of return. We refund using your original payment method. You pay for any loss in value from handling the goods beyond what's needed to check them.
9.3 Sealed records. Vinyl and cassettes ship sealed. You lose the right to cancel once you break the seal. Your rights for faulty records (9.5) are unaffected.
9.4 Included downloads. Records include a download of the same release. If you cancel or return the record, the download link is revoked.
9.5 Faulty or wrong items. You have legal rights if goods are faulty, damaged or not as described. Within 30 days of delivery you can reject them for a full refund. After that, we'll repair or replace the item, and if we can't, you're entitled to a price reduction or a refund. Send us photos when you report a fault. We cover return postage for faulty items.
9.6 Lost parcels. The risk stays with us until the goods reach you. If a parcel is lost, we'll resend it or refund you.
10. Liability
Nothing in these terms limits your legal rights as a consumer, or our liability for death or personal injury caused by negligence, or for fraud. If you buy for your trade, business or profession, our total liability is limited to the price of the order.
11. Complaints
Email. We aim to reply within 3 working days.
12. Law and courts
These terms are governed by the law of the country where the seller is established. If you're a consumer, you also keep the protection of the mandatory laws of the country where you live and may bring a claim in your local courts.
13. Changes
We may update these terms. The version that applies to your order is the one shown at checkout, and it's linked from your order email.
